Terms of Service

1. Introduction
These Terms of Service (“Terms”) are entered into between you (“you”, “your”) and MariqueCalcus Limited, a company registered in England and Wales, trading as WayCite (“WayCite”, “we”, “us”, “our”). Our registered office is at Martlet House E1 Yeoman Gate, Yeoman Way, Worthing, West Sussex, BN13 3QZ, United Kingdom.
These Terms govern your access to and use of the WayCite website at waycite.com, the Blogger Portal, and the GEO Analysis Engine (collectively, the “Service”). Access to the WayCite Developer API is governed by separate API Terms available at https://waycite.com/api-terms.
2. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old. If you are accessing or using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to “you” and “your” shall include that organisation.
3. Account Registration
To access certain features of the Service, you may be required to create an account. When registering, you agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain and promptly update your account information to keep it accurate, current, and complete.
- Maintain the security and confidentiality of your account credentials, including your password.
- Accept responsibility for all activities that occur under your account, whether or not you have authorised such activities.
- Notify us immediately of any unauthorised use of your account or any other breach of security by contacting security@waycite.com.
We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, not current, or incomplete.
4. Service Description
WayCite is an AI-powered travel intelligence platform. We index travel blog content (with explicit blogger consent), analyse it using large language models (currently Claude by Anthropic and GPT-4 by OpenAI), and generate GEO (Generative Engine Optimisation) scores across seven dimensions:
- Structure
- Entity clarity
- First-hand signals
- Freshness
- Q&A alignment
- Competitive differentiation
- Topic depth
GEO scores are informational tools designed to help bloggers improve their content's AI citation readiness. They are not guarantees of performance, ranking, or citation by any AI system. Results may vary and are subject to changes in AI model behaviour, search engine algorithms, and other factors outside our control.
5. Blogger-Specific Terms
If you are a blogger using the Blogger Portal, the following additional terms apply to your use of the Service:
- Licence grant. You grant WayCite a non-exclusive, revocable licence to crawl, index, analyse, and display excerpts of your published blog content, solely for the purpose of generating GEO scores and serving attribution-linked search results through our API.
- Retention of rights. You retain all intellectual property rights in your content. Nothing in these Terms transfers ownership of your content to WayCite.
- Revocation of consent. You may revoke your consent at any time by contacting us at legal@waycite.com. Upon revocation, we will remove your content from our index within thirty (30) calendar days. Aggregated, anonymised insights and GEO scores derived from your content prior to revocation may be retained in de-identified form, as they cannot be used to reconstruct your original content. This is consistent with our Privacy Policy retention terms.
- Attribution. We will always include attribution links back to your original content when your articles appear in API results. Attribution links are designed to drive referral traffic back to your blog.
6. Intellectual Property
WayCite and its licensors own all rights, title, and interest in and to the Service, including but not limited to the analysis methodology, aggregated insights, software, source code, algorithms, user interface designs, and documentation. All such rights are protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws.
You may not copy, modify, distribute, sell, lease, sublicence, or create derivative works of any part of the Service except as expressly permitted in these Terms or with our prior written consent.
Blogger content remains the sole property of the respective blogger. WayCite does not claim ownership of any content submitted by bloggers to the Service.
7. Prohibited Conduct
When using the Service, you agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of any part of the Service.
- Scrape, crawl, or systematically extract data from the Service, except through the Developer API in accordance with the API Terms.
- Use the Service to develop, train, or improve a competing product or service, whether directly or indirectly.
- Interfere with, disrupt, or place an undue burden on the Service or its underlying infrastructure, including servers, networks, and databases.
- Circumvent, disable, or otherwise interfere with any rate limits, access controls, authentication mechanisms, or security measures of the Service.
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Use the Service for any purpose that is unlawful, fraudulent, or prohibited by these Terms or by applicable law.
- Attempt to manipulate GEO scores through artificial means, including but not limited to injecting hidden text, keyword stuffing, or exploiting scoring algorithm behaviour.
8. AI Output Disclaimer
GEO scores and other analytical outputs provided by the Service are generated by artificial intelligence systems, including Claude (Anthropic) and GPT-4 (OpenAI). Due to the inherent limitations of current AI technology, you acknowledge and agree that:
- Outputs may contain inaccuracies, biases, or errors, and may not reflect the most current state of your content or the broader information landscape.
- Scores are probabilistic assessments, not deterministic guarantees. The same content may receive different scores at different times as AI models are updated or retrained.
- Outputs should not be relied upon as professional advice of any kind, including but not limited to marketing advice, legal advice, or business strategy advice.
- We make no representations or warranties that AI-generated outputs are complete, accurate, reliable, current, or suitable for any particular purpose.
The Service, including all AI-generated outputs, is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall either party be liable to the other for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, regardless of the theory of liability (whether in contract, tort, strict liability, or otherwise) and even if the party has been advised of the possibility of such damages.
Each party's total aggregate liability arising out of or in connection with these Terms shall not exceed the total amounts paid by you to WayCite in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any amounts to WayCite, our maximum aggregate liability shall not exceed fifty pounds sterling (£50).
Nothing in these Terms excludes or limits liability for:
- Death or personal injury caused by negligence.
- Fraud or fraudulent misrepresentation.
- Any liability that cannot be excluded or limited under the laws of England and Wales, including under the Consumer Rights Act 2015.
10. Indemnification
You agree to indemnify, defend, and hold harmless WayCite, its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:
- Your breach of any provision of these Terms.
- Your use of the Service, including any actions taken by you or by any person using your account.
- Your content or data submitted to the Service, including any claims that such content infringes or misappropriates the intellectual property rights of a third party.
- Any third-party claims arising from your activities in connection with the Service.
11. Modification of Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' prior notice via email to the address associated with your account or through a prominent notice on the Service.
Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account in accordance with Section 12 below.
12. Termination
Either party may terminate these Terms at any time by providing written notice to the other party. WayCite may suspend or terminate your access to the Service immediately and without prior notice if you breach any provision of these Terms.
Upon termination:
- Your right to access and use the Service ceases immediately.
- We will delete your personal data within thirty (30) days, subject to any legal retention obligations under applicable law.
- Provisions that by their nature should survive termination will survive, including but not limited to Sections 6 (Intellectual Property), 8 (AI Output Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 14 (Dispute Resolution and Governing Law).
13. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the affected party's reasonable control (“Force Majeure Event”), including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions or sanctions, power failures, telecommunications failures, internet service provider failures, third-party cloud or hosting provider outages (including AWS, Vercel, or LLM provider disruptions), cyberattacks, and changes in applicable law or regulation.
The affected party shall: (a) promptly notify the other party of the Force Majeure Event and its expected duration; (b) use reasonable efforts to mitigate the impact of the event; and (c) resume performance as soon as reasonably practicable after the event ceases. If a Force Majeure Event continues for more than sixty (60) consecutive days, either party may terminate these Terms by written notice to the other party.
During a Force Majeure Event, WayCite may suspend all or part of the Service without liability. No refunds or credits shall be due for any period of suspension caused by a Force Majeure Event.
14. Dispute Resolution and Governing Law
The parties agree to the following tiered dispute resolution process before commencing court proceedings:
- Negotiation. The parties shall first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation. The aggrieved party shall send written notice of the dispute to the other party, and the parties shall have thirty (30) calendar days from receipt of such notice to reach a resolution.
- Mediation. If the dispute is not resolved through negotiation within the thirty-day period, either party may propose mediation. If both parties agree to mediate, the mediation shall be conducted in accordance with the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure. The costs of mediation shall be shared equally between the parties. Mediation shall take place in London, England, unless otherwise agreed.
- Court proceedings. If the dispute is not resolved through negotiation or mediation within ninety (90) calendar days of the initial dispute notice, either party may commence court proceedings.
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
If you are a consumer, nothing in this clause affects your statutory rights or your right to bring proceedings in the courts of your country of residence as permitted by applicable law.
15. US Arbitration and Class Action Waiver
This section applies only to users who are residents of the United States.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved through the dispute resolution process in Section 14 shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator and shall take place in a location mutually agreed upon or, failing agreement, in New York, New York.
CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST WAYCITE.
If any part of this arbitration or class action waiver is found to be unenforceable, the remainder shall continue to apply. This section does not apply to claims for injunctive or equitable relief, or to disputes within the jurisdiction of a small claims court.
16. General Provisions
Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
Waiver
No failure or delay by either party in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. A single or partial exercise of any right, power, or remedy does not preclude any further exercise of that right, power, or remedy.
Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and (if applicable) the API Terms, constitute the entire agreement between you and WayCite with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Service.
Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets.
Notices
All formal legal notices under these Terms must be in writing and shall be deemed duly given when: (a) delivered by hand; (b) sent by recorded delivery post (Royal Mail or equivalent) to the registered office address of the receiving party; or (c) sent by email to legal@waycite.com (for notices to WayCite) or to the email address associated with your account (for notices to you). Notices sent by post are deemed received two (2) business days after posting. Notices sent by email are deemed received on the next business day after sending.
